Companies House has restrictions in place on what they can receive on paper and via electronic filing. Below is information provided by Companies House regarding this.
There are no restrictions on what value of shares can be issued - the only restriction is what Companies House can actually capture. Therefore, if a customer files on paper, they can issue any share value they wish; however, the amount will be rounded up/down when keyed onto Companies House's internal processing system. This would also apply to electronic filings where the nominal share value is more than 6 decimal places.
Companies House system restraints regarding share values are as follows:
For online filing,
Total Amount unpaid on each share :
maximum of 16 digits and a value with a maximum of 6 decimal places (e.g. 1234567890.123456)
Aggregate nominal value :
maximum of 16 digits with a maximum of 3 decimal places (e.g. 123456789123.123)
For paper filing,
Total Amount unpaid on each share :
maximum of 16 digits and a value with a maximum of 6 decimal places (e.g. 1234567890.123456)
Aggregate nominal value :
maximum of 16 digits with a maximum of 6 decimal places (e.g. 1234567890.123456)
Any value can be shown on paper, however, there is a limit as to what we would be able to capture on Companies House. Therefore, although the correct figure would be shown on the document image, the amount shown on Companies House's system would be restricted as outlined above.
If the share class is greater than 6 decimal places, the statement of capital can not be maintained on Inform Direct. If this is a mistake, the statement of capital will need to be amended at Companies House before we can import this information.
