Overview
Mistakes can occasionally happen when filing documents at Companies House. UK law allows you to correct most types of filings, but the process and the forms you need depend on what is being corrected. This guide outlines the procedures for common situations including officer and PSC details, share allotments and structure changes, and other company information.
1. General Principles of Correction
- Corrections must be made as soon as practicable after an error is discovered.
- Where a document has been “properly delivered” (i.e., it meets legal requirements for delivery), the incorrect version will remain on the public record — your correction will add to the file but not remove the original error .
- In most cases, you should explain what’s being corrected in a covering letter and/or select the “Second Filing”/“Amended” option if available.
- Some minor typographical errors in a filing (such as a slight address mis-spelling) may be correctable via form RP04; however, most corrections require a replacement or rectification form (e.g., RP01), especially for material mistakes.
- LLPs must use the LLRP01 form alongside the form that needs correcting; these can only be sent via post.
- For changes before 1 October 2009, the original form must be sent via post with a covering letter and RP01/LLRP01 form.
2. How to Correct Specific Types of Filings
a. Officer or PSC Details (Directors, Secretaries, PSCs):
- If appointed after company registration:
-
If the incorrect detail (e.g. date of birth) was filed as part of company incorporation (IN01):
- Submit a paper RP01 form along with a replacement section of the IN01 for the officer/PSC, and proof (such as copy passport) .
- For confirmation statement errors relating to a PSC: Submit a paper RP01 & replacement PSC01 .
-
If the officer was appointed before 1 October 2009:
- Use the relevant change of particulars form (e.g., 288c for England/Wales/Scotland or 296 for NI) .
Important:
Always check whether the correction can be made online (WebFiling), as this is faster. Paper correction is often required if the error relates to the original incorporation or pre-2009 appointments.
b. Share Allotments and Share Structure Errors
- To correct a mistake in a share allotment (filed via SH01):
- To correct other changes in share capital (SH02–SH19):
- Note: For changes that require a shareholder or board resolution, always include the corrected resolution and statement of capital .
c. Confirmation Statement Errors
- If you reported incorrect share transfers, shareholding or SIC codes.
- Submit a corrected CS01 via WebFiling for online-amendable errors.
- Or send an amended CS01 along with an RP01 form via post.
d. Removing a filing or document from the register (“Rectification”)
- For very serious issues (e.g., a document filed without authority), you may apply to have it removed via post with an RP08 form. This is a last resort and generally only for issues where RP01/RP04 procedures are not sufficient.
3. Filing a Second Filing or Replacement
- Second Filing (RP04): Used for minor errors only (e.g. typographical mistakes), where the document was otherwise properly delivered .
- Replacement (RP01): Used in most cases for correcting significant errors or providing replacement documents for the register. Most director/PSC appointment and share allotment errors will require an RP01 .
- Include proof: For corrections to personal data (such as a date of birth), include proof such as a passport or driving licence scan.
- Explain the correction: In all cases, provide a cover letter clearly stating what you are correcting and referencing the original filing.
4. How to File
- Online (WebFiling): Preferred where possible—many director and PSC corrections, share allotments, share structure amendments, and confirmation statement edits can be done online via WebFiling .
-
By Post: Where not possible online (incorporation errors, some pre-2009 errors, original appointments, etc.), send the required forms and documents to:
2nd Filings Team
Companies House
Crown Way
Cardiff
CF14 3UZ .
5. Timeline
- Corrections are usually processed within 20 working days. Keep evidence of your submission in case of future disputes .
- If you use WebFiling, you’ll receive email acknowledgments of submission and of acceptance or rejection .
6. Special Cases
- For extremely sensitive errors or data (such as personal security issues), seek legal advice or speak directly with Companies House.
- If your company is on the PROOF scheme, you may need a PR03 paper consent form to make paper filings .
